Agreement and eligibility

These Terms of Service (“Terms”) are an agreement between you and Exionos governing your access to and use of the Services. By accessing or using a Service, you agree to these Terms and any product-specific terms presented with that Service. If you use the Services for an organization, you represent that you have authority to bind it, and “you” includes that organization.

You must be at least 18 years old and legally capable of entering a binding contract. You may not use the Services if applicable law prohibits you from receiving them or if Exionos has previously suspended you for material misuse.

Our services and models

Exionos develops and distributes artificial-intelligence models and related tools. Services may include websites, documentation, model playgrounds, hosted inference, APIs, developer tools, enterprise features, evaluations, and models that accept or generate text, images, audio, video, code, documents, or other media.

Features may be experimental, offered as a preview, subject to capacity limits, or changed as the technology develops. A model shown on the website may be available only as downloadable weights and not in a hosted playground.

Accounts and access

You must provide accurate account information, keep credentials confidential, and promptly notify Exionos of suspected unauthorized use. You are responsible for activity under your account and for configuring access, permissions, API keys, and integrations appropriately.

Do not share access tokens, evade usage limits, create accounts through automated means without permission, or allow access by a person or entity barred under applicable sanctions or export-control laws.

Inputs, outputs, and ownership

Your Input

You retain ownership of text, images, audio, video, code, files, data, and other material you submit (“Input”). You grant Exionos a worldwide, non-exclusive, limited license to host, copy, process, transmit, and display Input as necessary to provide, secure, support, and improve the Services, comply with law, and enforce these Terms, consistent with the Privacy Policy and any product settings.

Your Output

As between you and Exionos, and to the extent permitted by law, you own model-generated material returned specifically for your Input (“Output”). Exionos assigns to you any rights it may have in that Output. Output may not qualify for intellectual-property protection, may not be unique, and similar material may be generated for others.

Your responsibilities

You represent that you have all rights, licenses, consents, and permissions required for your Input and your intended use of Output. You are responsible for reviewing Output before use, providing legally required disclosures, and ensuring your use does not violate law or another person’s rights.

Exionos materials

Exionos and its licensors retain rights in the Services, site design, software, model architecture, documentation, trademarks, and other materials we provide, excluding your Input and rights assigned in Output. No rights are granted except as stated in these Terms or an accompanying license.

Acceptable use

You may not use the Services to:

• Break the law, violate rights, facilitate fraud, or evade lawful controls.
• Create or distribute child sexual abuse material, sexual exploitation, non-consensual intimate content, or content that sexualizes minors.
• Threaten, stalk, harass, exploit, or facilitate serious physical harm.
• Develop or deploy malware, steal credentials, disrupt systems, bypass security, or conduct unauthorized cyber activity.
• Misrepresent generated media as authentic where doing so would deceive, defraud, impersonate, or materially harm another person.
• Infringe intellectual property, privacy, publicity, confidentiality, or data-protection rights.
• Attempt to extract protected system instructions, confidential data, model weights, or personal information from a hosted Service without authorization.
• Use Output as the sole basis for high-impact decisions about employment, credit, housing, insurance, education, healthcare, legal services, or access to essential goods without lawful authority and meaningful qualified human review.
• Remove safeguards, evade rate limits, overload the Services, scrape them contrary to published instructions, or interfere with another user.

Exionos may publish additional safety rules for a particular model or modality. Those rules are incorporated into these Terms for the applicable Service. This section does not override rights granted under a separate open-source or open-weight license.

Model limitations

Artificial-intelligence systems are probabilistic. Outputs may be inaccurate, incomplete, outdated, offensive, unsafe, or unsuitable for your purpose. Models may misunderstand images, audio, video, code, or context; invent sources; reproduce biases; or produce materially different outputs from small input changes.

The Services are not a substitute for qualified professional advice. Do not rely on Output as medical, legal, financial, safety-critical, or other professional advice. Verify important information independently and use appropriate human review, testing, monitoring, and fallback procedures.

Open weights and third parties

Model weights, source code, plugins, datasets, and research artifacts may be distributed under separate licenses. The accompanying repository or release materials identify the controlling license. If those terms conflict with these Terms for the downloaded artifact, the artifact-specific license controls.

Third-party platforms, repositories, integrations, and models are governed by their own terms and privacy policies. Exionos is not responsible for third-party services, and a link or integration does not imply endorsement. Running a model locally is your deployment; you are responsible for its security, operation, and compliance.

Fees and changes

Some Services may be free and others may require payment. Pricing, usage limits, taxes, renewal terms, and refund rules will be disclosed before purchase or in an order form. Except where law or the applicable purchase terms require otherwise, fees are non-refundable.

We may add, change, suspend, or discontinue features or models. When reasonably possible, we will provide notice of a material discontinuation affecting a paid Service. We do not promise that a preview, benchmark, model, or feature will remain available.

Suspension and termination

You may stop using the Services at any time. Exionos may restrict or suspend access when reasonably necessary to protect the Services or others, investigate suspected misuse, comply with law, address nonpayment, or respond to a material breach. We may terminate access for serious or repeated violations.

Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, dispute provisions, and obligations relating to prior use.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, MODELS, WEIGHTS, OUTPUTS, AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXIONOS AND ITS LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

Exionos does not warrant that the Services will be uninterrupted or error-free, that Output will be accurate or unique, or that a model will meet any benchmark, latency, safety, or performance result in your environment. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXIONOS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXIONOS’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID EXIONOS FOR THE RELEVANT SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

These limitations do not apply where prohibited by law or to liability that cannot legally be limited. Consumers may have non-waivable rights under local law.

General terms

Indemnity

If you use the Services on behalf of a business or organization, that entity will defend and indemnify Exionos against third-party claims arising from its Input, Output, deployment, violation of these Terms, or infringement of rights, except to the extent caused by Exionos’s breach or unlawful conduct.

Governing law

These Terms are governed by applicable United States federal law and the laws of the U.S. state where Exionos is principally established, without regard to conflict-of-law rules. Courts with competent jurisdiction in that location will hear disputes, unless applicable consumer law requires another forum.

Export controls

You must comply with applicable trade, sanctions, and export-control laws. You may not use or provide the Services in prohibited jurisdictions or for prohibited end uses.

Changes

We may update these Terms as our models, modalities, products, and legal obligations change. We will post updated Terms with a new effective date and provide additional notice when required. Continued use after the effective date constitutes acceptance where permitted by law.

Entire agreement

These Terms, the Privacy Policy, product-specific terms, and any order form are the entire agreement for the Services. If one provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without consent; Exionos may assign them as part of a corporate transaction.
